BYLAWS

OF THE

NORTHERN ORANGE REPUBLICAN WOMEN

 

 

ARTICLE I

NAME

 

The name of this club shall be the Northern Orange Republican Women.

 

ARTICLE II

OBJECTIVES

 

The objectives of the Northern Orange Republican Women shall be:

 

To promote an informed public through political education and

   activity.

-  To increase the effectiveness of women in the cause of good

   government through active political participation.

-  To encourage loyalty to the Republican Party and to promote

   its principles and candidates in all elections, including non-

   partisan elections.

To support the objectives of the Republican National, and

   North Carolina Central Committees, and to work for the

   election of Republican Party nominees.

 

ARTICLE III

POLICIES

 

Neither the club nor the president shall endorse a candidate prior to the primary election, when there is more than one Republican candidate for the same office.

 

The name of the club shall not be used by any member in supporting a candidate prior to the primary election.

 

The club shall not advocate a split party ticket nor support a candidate running on an opposition tickets.

 

ARTICLE IV

MEMBERSHIP AND DUES

 

Section 1. Eligibility

 

Membership in the Northern Orange Republican Women shall be open to any woman who is a registered Republican, and who accepts and advocates the objectives (Article II) and policies (Article III) of this club.

 

Section 2.  Associate Membership

 

a)  Associate members cannot hold office, vote, or be counted for the purpose of determining the number of delegates to national or state federation meetings or conventions.

 

b)  Republican men are eligible for associate membership upon payment of the required annual dues.  They cannot hold office, have a voice or a vote.

 

Section 3:  Duties of General Membership

 

-          adopt an annual budget at Installing meeting;

-          approve any non-budgeted expenditure of over $25.00, other than general meeting expenses;

-          ratify any change in dues;

 

Section 4: Dues

 

Any change for the amount of dues for Regular Members will be determined by the Executive Board and ratified by the General Membership.  Dues will be due and payable by May 1 of each year.

 

Section 5:  Removal from Membership

 

  1. Any member may be removed from membership by a two-thirds vote of the Executive Board for:

-          non-payment of dues for one year

-          change of registration to an opposition party;

-          advocating a split party ticket,

-          supporting a candidate running on an opposition ticket.

 

  1. A member may be re-instated by a two-thirds vote of the Executive Board, providing the reasons for removal have been corrected.

 

 

ARTICLE V

MEETINGS

 

Section 1. REGULAR

 

The regular meetings of the Northern Orange Republican Women shall be held on the second Tuesday of each month, at a time and place designated by the President with the advice of the Executive Board.  Members shall be notified by mail or email of the date, time and place of all meetings.  There shall be at least five meetings during the fiscal year.

 

Section 2. SPECIAL

 

Special meetings may be called of the Executive Board and the purpose of the meeting shall be stated in the call, with no other business to be transacted at the meeting.  At least five days notice shall be given to all members for a special meeting.

 

Section 3: QUORUM

 

Twenty-five percent of the paid membership of this club shall constitute a quorum for all regular and special meetings. There shall be no proxy voting.

 

 

ARTICLE VI

OFFICERS AND THEIR DUTIES

 

Section 1.  Officers

 

A.                 The officers of this club shall be a president, a vice president, a secretary, and a treasurer.

B.                 Each officer shall be an active member in good standing of this club and shall not hold office or chair a committee in another Republican Womenís Club.

 

Section 2.  Term of Office

 

A.                 The officers shall be elected at the regular November meeting, installad at that meeting or any other meeting held before December 31, and shall serve for a term of two years or until their successors are duly elected and qualified.  Officers will take office immediately after installation.

B.                 No member shall hold more than one office at any time, and no officer may be eligible to serve more than two consecutive terms in the same office.

 

Section 3.  Duties

 

A.                 The duties of the President shall be:

-          to preside at all meetings of this club and of the Executive Board;

-          to represent the club at all times, or to designate a member of the Executive Board as a representative in her absence or inability to do so;

-          to appoint all standing committee chairmen with the advice and consent of the other elected officers;

-          to appoint special committees except the nominating committee;

-          to appoint a parliamentarian, a chaplain and a historian;

-          to serve as an ex-officio member of all committees except the nominating committee;

-          to sign checks due to the inability of the Treasurer to do so;

-          to assist the Treasurer in the preparation of an annual budget;

-          to maintain a complete membership list of this club and to place such list under irrevocable trust for the exclusive use of the club.

 

B.                 The duties of the Vice President shall be:

-          to perform the duties of the President in the absence of the President;

-          to assist the Treasurer in the preparation of an annual budget;

-          to notify Executive Board members of the time and place of Board Meetings;

-          to perform such other duties as may be assigned to her by the President.

 

C.                 The duties of the Secretary shall be:

-          to keep accurate minutes of the club and the Executive Board and to provide copies of said minutes to the President and the Vice President at each Board Meeting;

-          to send notice of meetings to the General Membership

-          to take care of all correspondence as requested by the President and/or the Executive Board;

-          to send thank you notes (except to speakers which is done by the Program Chairman) and to purchase get well and sympathy cards as needed.

-          to perform such other duties as may be assigned to her by the President.

 

D.                 The duties of the Treasurer shall be:

-          to be custodian of all funds of this club;

-          to send notices of unpaid dues to members

-          to prepare a budget in conjunction with the President, the Vice President and the Ways and Means Chairman;

-          to disperse funds as directed by the Executive Board;

-          to provide for an annual audit;

-          to make written reports of receipts and disbursements for all meetings, and as directed by the President;

-     to file required reports with the State Board of Elections on or before the legal deadline.

 

Section 4.  Resignation from Office

 

Should any officer file for election to public office, advocate a split party ticket, or support a candidate running on an opposition ticket, she must resign her office in this club.

 

 

Section 5.  Vacancies

 

A vacancy in an elective office shall be filled by election of the Executive Board at the meeting following the vacancy.  Notice of such vacancy shall be given to members of the Executive Board.

 

Section 6.  Records

 

Each officer and committee chairman shall keep a portfolio of her duties and records which shall be passed on to her successor within thirty days of retirement from the position, unless otherwise directed by the President or the Executive Board.

 

ARTICLE VII

EXECUTIVE BOARD

 

Section 1.  Membership

 

-          elected officers of this club;

-          immediate Past President of this club;

-          Chairmen of standing committees;

-          the Chaplain, Parliamentarian and Historian.

 

Section 2.  Duties

 

-          to serve as the governing body of this club between meetings;

-          to fill by election any vacancy occurring in an elective office at the next meeting following the vacancy;

-          approve budget.

 

Section 3.  Meetings

 

A.                 The Executive Board shall meet at least once a month as determined by the President.  Notice of the date, time and place of the meeting shall be made to each member of the Board one week in advance of the meeting by the Vice President.

B.                 Special meetings may be called by the President or by three members of the Executive Board upon three daysí notice by telephone or email.

 

Section 4.  Quorum

 

A majority of the membership of the Executive Board shall constitute a quorum for all the meetings of the Board.

 

ARTICLE VIII

COMMITTEES

 

Section 1.  Standing Committees

 

A.                 The standing committees of this club shall be:  Legislative, Membership, Program, Public Relations, Campaign, Fundraising, Bylaws and Americanism; the chairmen shall be appointed by the President with the approval of the other elected officers.

B.                 Standing committee chairmen shall be appointed for a term of two years.

C.                 The standing committees shall develop and outline programs of action in their respective areas of responsibilities at the first meeting of the standing committee and shall present their programs to the Executive Board and then to the general membership of the club at the meeting following development of programs.

D.                 The standing committees shall meet when called by their respective chairmen and shall make reports at any regular or special meetings of the club as requested by the President.

 

Section 2.  Special Committees

 

A.                 The President may appoint special committees, except the nominating committee, deemed necessary to carry out the work of the club and to perform duties not considered the responsibility of the standing committees.

B.                 Special committees shall serve for the length of time required to complete their work, provided such time is limited to the term of the appointing President.

 

Section 3.  Records

 

All committees shall deliver all records, files and property of the club to their successors or to a club officer designated by the President or the Executive Board within one month after retiring from office, unless otherwise directed by the President or the Executive Board.  Archival records are stored in the Wilson Library at UNC.

 

ARTICLE IX

NOMINATIONS AND ELECTIONS

 

Section 1.  Nominations

 

A.                 A Nominating Committee of three members shall be elected by the General Membership May of each odd numbered year.

B.                 The Nominating Committee shall submit one nominee for each office in a report to the membership at the October meeting.

C.                 Nominations from the floor may be made following the report of the Nominating Committee, provided that the consent of the nominee has been secured in advance.

D.                 Only members who maintain an active membership in good standing in this club shall be nominated for elective office.  Members who hold office or committee chairmanships in other Republican Womenís Clubs are not eligible for nomination.

 

Section 2.  Elections

 

A.                 Elections shall be held at the regular November meeting or no later than December 31.

B.                 Elections shall be by ballot in all cases where there is more than one nominee for that office, and the President shall appoint an Elections Committee of not less than three to count the ballots.  In cases of only one nominee, election may be by voice vote.  A majority of the members present and voting, providing a quorum is present, shall constitute election.

 

ARTICLE X

PARLIAMENTARY AUTHORITY

 

The rules contained in Robertís Rules of Order Newly Revised or the latest edition thereof shall govern the club in all cases to which they are applicable and in which they are not inconsistent with these bylaws.

 

ARTICLE XI

AMENDEMENTS

 

These bylaws may be amended by a two-thirds vote of those members present and voting, a quorum being present, at any regular meeting of the club or special meeting called for that purpose, provided notice of the proposed amendment has been given in writing to all members at least thirty days prior to the meeting.
